1. Scope of Application
These Terms and Conditions ("Terms") govern all contracts, deliveries, services, product purchases, membership purchases, and participation in our 10-Level Affiliate / Multi-Level Marketing (MLM) Program between [Your Company Name] ("Seller", "we", "us") and you ("Buyer", "Customer", "Affiliate", "Participant") via our online shop at [your-domain.com].
By placing an order, purchasing a membership, signing up as an Affiliate, or participating in any way, you agree to be bound by these Terms in their current version.
Deviating, conflicting or supplementary terms of the Buyer/Affiliate do not become part of the contract unless we expressly agree to them in writing.
2. Products and Intended Use – Important Disclaimer (Research Use Only – RUO)
All products offered (peptides, research chemicals, etc.) are sold exclusively for in-vitro laboratory research and scientific purposes ("Research Use Only – RUO").
The products are not approved, tested, or intended for human or animal consumption, ingestion, injection, therapeutic use, diagnostic purposes, as food supplements, cosmetics, medical devices, or any non-research application.
The products are not pharmaceutical-grade, not sterilized for human use, and carry no warranties, certifications or approvals (e.g., FDA, EMA, or equivalent) for medical, personal or therapeutic applications.
By ordering or participating you expressly represent and warrant that:
- You are at least 21 years old;
- All purchases and promotions are solely for legitimate laboratory/research use by qualified professionals or for authorized affiliate promotion of RUO products;
- You will not use, administer, resell (except as authorized affiliate), redistribute or supply the products for human or animal consumption or any prohibited purpose;
- You will handle, store and use the products in compliance with all applicable laws, safety regulations and laboratory best practices.
We assume no liability whatsoever for misuse, improper handling, storage, application or any consequences (health-related, legal, financial or otherwise) arising from any use outside of RUO. Any non-research use is strictly prohibited and voids all warranties, rights and protections under these Terms.
3. 10-Level Affiliate / Multi-Level Marketing (MLM) Program & Membership Tiers
We operate a 10-Level Affiliate / Multi-Level Marketing Program (powered by [e.g., GoAffPro]). Affiliates earn commissions on verified product sales generated through their personal referral links and from their downline up to 10 levels deep.
Membership Tiers (One-Time Access Fees)
- Standard Membership (€50) – Unlocks commission eligibility on Levels 1–2 only.
- Premium Membership (€250) – Unlocks commission eligibility on Levels 1–5.
- Diamond Membership (€500) – Unlocks commission eligibility on Levels 1–10 (full access).
Membership fees grant access to higher commission levels but do not constitute product purchases, mandatory buys, entry deposits or ongoing obligations. Membership fees are non-refundable except where required by mandatory law.
Eligibility & Approval: Participants must be 21+, submit an approved application and (if required for desired levels) purchase the corresponding membership tier. We reserve the right to reject or terminate participation at any time without reason.
Commission Structure
Commissions are paid only on verified, completed, non-refunded product sales (strict product-sales focus – not on recruitment, self-purchases or membership fees).

Maximum total commission payout across all levels: 50% of the net sale value.
Payouts: Commissions are paid monthly via [your payout methods – e.g. bank transfer, crypto], once the minimum payout threshold is reached and after the return/refund period (usually 30 days). Affiliates are solely responsible for all taxes.
Promotion & Strict Compliance Rules
- Affiliates must disclose affiliate status (#ad, #affiliate, #sponsored) in accordance with applicable laws.
- Strictly prohibited: false or medical claims, income promises, spamming, pyramid-style recruitment focus, or promoting products for human/animal consumption.
- All promotions MUST clearly state: "For research use only – not for human or animal consumption."
Violations result in immediate termination, forfeiture of unpaid commissions and membership value, and possible legal action.
Anti-Pyramid Safeguards: The program is strictly product-sales oriented. No mandatory ongoing purchases. No recruitment-based compensation. No income guarantees.
Termination & Program Changes: We may modify commissions, membership fees, rules, or terminate the program with reasonable notice.
4. Conclusion of Contract
Product listings and affiliate invitations are non-binding invitations to treat. Contracts are concluded only upon express acceptance (e.g., order confirmation email).
5. Prices, Payment, Shipping
All prices are in Euro (€) and exclude shipping costs, customs duties, VAT/GST where applicable. Payment is due immediately upon order.
Shipping is offered worldwide (subject to legal restrictions). Risk passes to the Buyer upon handover to the carrier.
6. Right of Withdrawal / Cancellations
EU/EEA consumers may have a statutory 14-day withdrawal right where applicable.
- No withdrawal for perishable goods;
- No withdrawal for sealed goods once unsealed;
- No withdrawal for membership fees (access granted immediately);
- No statutory withdrawal for B2B customers.
7. Warranty, Liability and Returns
All sales are final except where required by mandatory law. Products are sold "as is".
We are not liable for misuse or non-research application. Liability is excluded except in cases of willful misconduct, gross negligence or injury to life, body or health.

9. Governing Law and Jurisdiction
These Terms are governed by the laws of the Socialist Republic of Vietnam. Exclusive jurisdiction: Courts of Da Nang, Vietnam (where permitted by law).
10. Amendments
We may update these Terms at any time. Continued use constitutes acceptance of the updated version.
